What are the North Systems?

They're the toolkit, not the ceiling. When the diagnosis calls for something that isn't on the list, we build it.

Agreement

By using this website, submitting an inquiry, chatting with our assistant, or engaging Zenith North Group ("we," "us"), you agree to these terms. We reserve the right to decline any request or engagement without explanation.

What We Do

Zenith North Group is a business consulting firm that diagnoses, designs, and builds systems for companies, packaged as the North Systems, including diagnostics (North Compass), digital presence (North Site), lead generation (North Lead), operations and workflow automation (North Flow), reporting dashboards (North View), and ongoing advisory (North Star), as well as custom-scoped work where an engagement calls for it. Systems may be delivered as one-time installations, ongoing managed services, or a combination, as defined in your engagement agreement.

Engagements & Scope

Every engagement begins with a conversation and is scoped individually. Nothing on this website is an offer, quote, or commitment until both parties sign an engagement agreement.
Each engagement agreement defines the systems being installed, deliverables, timeline, price, and any ongoing management terms. The engagement agreement controls over anything on this website.
Successful delivery requires reasonable client participation, access to accounts and tools, timely feedback, and availability for reviews and training.

Pricing & Payment

Pricing is fixed per engagement and agreed before work begins, no hourly meters or surprise invoices.
A deposit may be due at signing before work begins; the balance and any recurring fees are set out in the engagement agreement.
Ongoing services (management, advisory retainers) bill monthly and auto-renew unless terminated per the engagement agreement.
Third-party costs (software subscriptions, hosting, advertising spend) are the client's responsibility and are identified in the engagement agreement.
Payment terms are net 30 days from invoice unless otherwise agreed. Late payments may incur a 1.5% monthly interest charge.

Third-Party Tools & Accounts

Systems we install may rely on third-party software and services. Where we administer tool accounts on your behalf, ownership, transfer, and cancellation terms are defined in your engagement agreement. We are not responsible for changes to third-party services, their pricing, or their availability.

Website & AI Assistant

Content on this website, including responses from our AI chat assistant, is provided for general information. The assistant may make mistakes; its responses are not quotes, contracts, or professional advice, and do not create an engagement or obligation of any kind. Do not use the website or assistant for unlawful purposes or attempts to disrupt or misuse the service.

Intellectual Property

Our methods, tooling, software, templates, and documentation remain the property of Zenith North Group. Unless your engagement agreement says otherwise: deliverables created specifically for you (your website content, your configurations, your data) are yours upon full payment; our underlying tools and methods are licensed to you for use in your company, not for resale or redistribution.

Confidentiality

Both parties agree to keep confidential any proprietary information shared during an engagement, business data, processes, pricing, and strategy. This obligation survives the end of an engagement for three (3) years.

No Guarantee of Results

We build systems designed to improve how your company is found, sells, and operates, and we stand behind our work. But business outcomes depend on many factors outside our control (your market, your pricing, your follow-through), so specific results such as revenue, rankings, or lead volume are not guaranteed unless expressly stated in an engagement agreement.

Limitation of Liability

Zenith North Group is not liable for indirect, incidental, consequential, or punitive damages arising from our services or this website, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages. Our total aggregate liability under any claim is limited to the fees you paid us in the twelve (12) months preceding the claim.

Termination

Termination rights and notice periods for ongoing services are defined in the engagement agreement; unless stated otherwise, either party may terminate ongoing services with 30 days' written notice.
Upon termination we will provide reasonable transition assistance, including handover of accounts and data belonging to you, as defined in the engagement agreement.
All fees accrued through the termination date remain due and payable.

Changes to These Terms

We may update these terms from time to time. Material changes will be posted on this page with an updated date. Continued use of the website or our services after changes constitutes acceptance.

Governing Law

These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Coconino County, Arizona, except as otherwise agreed in an engagement agreement.

Entire Agreement

These terms, together with your signed engagement agreement, constitute the entire agreement between you and Zenith North Group regarding our services. If any provision is found unenforceable, the remaining provisions remain in full effect.
